{"id":1,"date":"2017-03-14T13:27:24","date_gmt":"2017-03-14T13:27:24","guid":{"rendered":"http:\/\/localhost:8080\/muntlaw\/?p=1"},"modified":"2017-03-14T13:27:24","modified_gmt":"2017-03-14T13:27:24","slug":"hola-mundo","status":"publish","type":"post","link":"https:\/\/muntlaw.com\/en\/hola-mundo\/","title":{"rendered":"EL ART\u00cdCULO 348 BIS LSC OBLIGA A LAS EMPRESAS A REPARTIR DIVIDENDOS"},"content":{"rendered":"<p>El 1 de enero de 2017 entr\u00f3 en vigor \u201cde nuevo\u201d el<strong> art\u00edculo 348 bis de la Ley de Sociedades de Capital<\/strong> (LSC), que establece, a favor del socio de la SL y de la SA no cotizada, un <strong>derecho de separaci\u00f3n en caso de falta de distribuci\u00f3n de dividendos<\/strong>.<\/p>\n<ul>\n<li>Este art\u00edculo ha sido motivo de encendida controversia desde el punto de vista empresarial en los \u00faltimos a\u00f1os.<br \/>\nEl art\u00edculo en cuesti\u00f3n fue introducido en la LSC en el a\u00f1o 2011 y estuvo vigente menos de nueve meses, del 2 de octubre de 2011 hasta el 23 de junio de 2012, momento en el que se suspendi\u00f3, en un primer momento hasta el 31 de diciembre de 2014 para finalmente prorrogar dicha suspensi\u00f3n hasta el 31 de diciembre de 2016.<\/li>\n<\/ul>\n<p>El motivo de dicha suspensi\u00f3n de su vigencia fue debido primordialmente por las tensiones de tesorer\u00eda que su aplicaci\u00f3n habr\u00eda ocasionado a las empresas por esa \u00e9poca, en medio de la crisis mundial que empez\u00f3 en 2008.<\/p>\n<p>El art\u00edculo 348 bis, en su primer apartado, establece que \u201c<em>a partir del quinto ejercicio a contar desde la inscripci\u00f3n en el Registro Mercantil de la sociedad, el socio que hubiera votado a favor de la distribuci\u00f3n de los beneficios sociales tendr\u00e1 derecho de separaci\u00f3n en el caso de que la junta general no acordara la distribuci\u00f3n como dividendo de, al menos, un tercio de los beneficios propios de la explotaci\u00f3n del objeto social obtenidos durante el ejercicio anterior, que sean legalmente repartibles<\/em>\u201d.<\/p>\n<p>El <strong>plazo para el ejercicio del derecho de separaci\u00f3n es de un mes<\/strong> a contar desde la fecha en que se haya celebrado la junta general ordinaria de socios de aprobaci\u00f3n de las cuentas anuales.<\/p>\n<h5>Valoraci\u00f3n de las participaciones del socio que quiere separarse<\/h5>\n<p>En cuanto a la valoraci\u00f3n de la participaci\u00f3n en el capital del socio o accionista que pretende separarse, debe aplicarse la norma de valoraci\u00f3n regulada en la LSC para otros supuestos de separaci\u00f3n (en particular, el art\u00edculo 353), que establece que \u201c<em>a falta de acuerdo entre la sociedad y el socio sobre el valor razonable de las participaciones sociales o de las acciones, o sobre la persona o personas que hayan de valorarlas y el procedimiento a seguir para su valoraci\u00f3n, ser\u00e1n valoradas por un experto independiente, designado por el registrador mercantil del domicilio social a solicitud de la sociedad o de cualquiera de los socios titulares de las participaciones o de las acciones objeto de valoraci\u00f3n<\/em>\u201d.<\/p>\n<p>La nueva entrada en vigor del art\u00edculo 348 bis podr\u00eda suponer el <a href=\"http:\/\/muntlaw.com\/service\/mercantil-y-societario\/\" target=\"_blank\"><span style=\"color: #ff00ff;\">incentivo de compra de participaciones minoritarias<\/span><\/a> en sociedades cerradas (t\u00edpicamente las SL) en los inmediatos a\u00f1os a venir.<\/p>\n<p>Si bien el art\u00edculo 348 bis LSC nace con la intenci\u00f3n de proteger al socio minoritario de abusos por parte del socio mayoritario, entendemos que se trata de una norma de reequilibrio de fuerzas entre los socios con una redacci\u00f3n desafortunada, cuya efectiva aplicaci\u00f3n vaticinamos que generar\u00e1 sin duda alguna conflictos que llegar\u00e1n a los <span style=\"color: #ff00ff;\"><a style=\"color: #ff00ff;\" href=\"http:\/\/muntlaw.com\/service\/procesal\/\" target=\"_blank\">Tribunales<\/a><\/span>.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>El 1 de enero de 2017 entr\u00f3 en vigor \u201cde [&hellip;]<\/p>\n","protected":false},"author":1,"featured_media":370,"comment_status":"closed","ping_status":"open","sticky":false,"template":"","format":"standard","meta":{"footnotes":""},"categories":[29,31],"tags":[42,43,37,30],"class_list":["post-1","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-news","category-societario-en","tag-derecho-de-separacion-en","tag-dividendos-en","tag-junta-de-socios-en","tag-sociedades-en"],"yoast_head":"<!-- This site is optimized with the Yoast SEO plugin v27.5 -
